Освобождение от ответственности

186 1)
Сторона не несет ответственности за неисполнение любого из своих обязательств, если докажет, что оно было вызвано препятствием вне ее контроля и что от нее нельзя было разумно ожидать принятия этого препятствия в расчет при заключении договора либо избежания или преодоления этого препятствия или его последствий.
A party is not liable for a failure to perform any of his obligations if he proves that the failure was due to an impediment beyond his control and that he could not reasonably be expected to have taken the impediment into account at the time of the conclusion of the contract or to have avoided or overcome it or its conseqünces.

Сторона, которая не исполняет своего обязательства, должна дать извещение другой стороне о препятствии и его влиянии на ее способность осуществить исполнение. Если это извещение не получено другой стороной в течение разумного срока после того, как об этом препятствии стало или должно было стать известно не исполняющей свое обязательство стороне, эта последняя сторона несет ответственность за убытки, являющиеся результатом того, что такое извещение получено не было.
The party who fails to perform must give notice to the other party of the impediment and its effect on his ability to perform. If the notice is not received by the other party within a reasonable time after the party who fails to perform knew or ought to have known of the impediment, he is liable for damages resulting from such non-receipt.

Die Partei, die nicht erfüllt, hat den Hinderungsgrund und seine Auswirkung auf ihre Fähigkeit zu erfüllen der anderen Partei mitzuteilen. Erhält die andere Partei die Mitteilung nicht innerhalb einer angemessenen Frist, nachdem die nicht erfüllende Partei den Hinderungsgrund kannte oder kennen musste, so haftet diese für den aus dem Nichterhalt entstehenden Schaden.

История создания Венской конвенции — отличный пример, как в условиях жесткого противостояния двух систем общие миролюбивые устремления их представителей, отбросивших необходимость следовать внутренней пропагандистской риторике, оказались способны на долгий срок создавать процедуры добрососедства и взаимопонимания (по смыслу документа A/8082). Недопущение международных вооруженных конфликтов, каких-либо актов агрессии так, как это предусматривает Резолюция Генеральной Ассамблеи ООН № 3314 (ХХIХ), документ A/RES/3314, — условия для реализации таких процедур и впредь.

События первой половины XX-ого столетия доказали: война одного вождя, одержимого идеей самоутверждения в истории, не должна становиться войной целого народа и трагедией для человечества!

Беспрецендентная по своей циничности и жестокости агрессия Российской Федерации против Украины, ее населения и суверенитета, должна быть немедленно остановлена и подвергнута осуждению, а ее участники — преследованию средствами уголовного судопроизводства независимо от формы их соучастия! При этом степень ответственности участников заговора (conspiracy), направленного на развязывание и осуществление агрессии, становится тем более высокой тогда, когда такая агрессия преследует также цель сокрыть ранее совершенные преступления (узурпация власти; создание преступных сообществ; коррупционные преступления).

2. Подготовительные материалы

Венская конвенция ООН 1980 года — это результат деятельности по унификации права международной купли-продажи продолжительностью в несколько десятилетий (см. история Конвенции). Обращение к подготовительным текстам следует считать неотъемлемой частью толкования Конвенции. Это тем более верно при условии, что Конвенция практически не допускает возможности толкования ее положений с учетом смысла и содержания какого-либо национального права (автономное толкование — см. ст. 7). В том числе и поэтому авторы Конвенции старались сформировать нейтральный терминологический аппарат, а также использовать лексические конструкции, лишенные каких-либо заимствований из права той или иной страны либо отсылок к нему (данное утверждение верно и тогда, когда текст Конвенции содержит грамматически тождественный термин).

Для понимания смысла отдельных положений Конвенции мы рекомендуем последовательно обращаться к:

  • текстам Единообразных законов ULIS ULFC, являющихся приложениями к Гаагским конвенциям 1964 года,
  • проектам Конвенции разных лет,
  • комментарию Секретариата, а также

4. Комментарий Секретариата 1979

Информация общего характера

На 11-ой сессии ЮНСИТРАЛ, которая проходила в Нью-Йорке с 30 мая по 16 июня 1978 года, был согласован и утвержден окончательный вариант проекта Конвенции. В специальной литературе он получил краткое название «Нью-Йорк 1978» (документ A/33/17 — п. 28). Проект объединял как положения о порядке заключения договоров международной купли-продажи, так и предписания, регулирующие материальную сторону таких договоров.

К этому проекту Секретариат, по поручению ЮНСИТРАЛ (см. документ A/33/17, п. 27), подготовил комментарий. Текст проекта, указанный комментарий к нему, а также проект заключительных положений будущей Конвенции были направлены правительствам иностранных государств и заинтересованным международным организациям для комментариев и предложений, с тем чтобы в последующем учесть полученные замечания и рекомендации при обсуждении проекта в ходе Дипломатической конференции.

Важно: при работе с Комментарием Секретариата следует учитывать то обстоятельство, что его текст был составлен для проекта Конвенции и он не может считаться комментарием текста Конвенции в действующей редакции. Комментарий не носит обязательный характер. Однако он до сих пор остается важным источником знаний для толкования отдельных положений Конвенции.

Комментируемый текст

Статья 65. Освобождение от ответственности.

1) Сторона не несет ответственности за неисполнение любого из своих обязательств, если докажет, что оно было вызвано препятствием вне ее контроля и что от нее нельзя было разумно ожидать принятия этого препятствия в расчет при заключении договора либо избежания или преодоления этого препятствия или его последствий.

2) Если неисполнение стороной своего обязательства вызвано неисполнением третьего лица, привлеченного ею для исполнения всего или части договора, эта сторона освобождается от ответственности только в том случае, если она освобождается от ответственности на основании пункта 1 настоящей статьи и если привлеченное ею лицо также было бы освобождено от ответственности, если бы положения этого пункта были применены в отношении его.

3) Освобождение от ответственности, предусматриваемое настоящей статьей, распространяется лишь на период, в течение которого существует данное препятствие.

4) Сторона, не исполняющая своего обязательства, должна дать извещение другой стороне о препятствии и его влиянии на ее способность осуществить исполнение. Если это извещение не получено в разумный срок после того, как сторона, не исполняющая своего обязательства, узнала или должна была узнать о препятствии, она несет ответственность за убытки, являющиеся результатом неполучения извещения.

5) Ничто в настоящей статье не препятствует любой стороне осуществить любые свои права, иные, чем требование возмещения убытков на основании настоящей Конвенции.

Комментарий

В статье 65 регулируется степень, в которой сторона освобождается от ответственности за неисполнение какого-либо из своих обязательств вследствие наличия препятствия вне ее контроля.

Общее правило, пункты 1 и 5

В пункте 1 излагаются условия, при которых сторона не несет ответственности за неисполнение какого-либо из своих обязательств. В пункте 5 предусматривается, что освобождение от ответственности в соответствии с этой статьей препятствует другой стороне осуществить лишь свое право требовать возмещения убытков, однако не препятствует этой стороне осуществить любое другое право, каким она может располагать(1).

В соответствии со статьями 41 (1 b) и 57 (1 b) сторона имеет право потребовать возмещения убытков, причиненных неисполнением своих обязательств другой стороной, без необходимости доказывания факта вины или недобросовестности или нарушения ясно выраженного обещания с ее стороны, как это требуется некоторыми системами права. Однако в соответствии со статьей 65 неисполняющая свое обязательство сторона освобождается от ответственности, если она докажет: 1) что неисполнение было вызвано препятствием вне ее контроля; 2) что от нее нельзя было разумно ожидать принятия этого препятствия в расчет при заключении договора; 3) что от нее нельзя было разумно ожидать избежания этого препятствия или его последствий; и 4) что от нее нельзя было разумно ожидать преодоления этого препятствия или его последствий.

Такое препятствие, возможно, существовало во время заключения договора. Например, товары, которые являлись уникальными и которые были объектом договора, возможно, уже исчезли во время заключения договора. Однако продавец не будет освобожден от ответственности в соответствии с этой статьей, если от него можно было разумно ожидать принятия факта разрушения данного товара в расчет при заключении договора. Поэтому, для того чтобы освободиться от ответственности, продавец не должен был знать о предшествующем разрушении товаров и он не должен был разумно ожидать их разрушения.

Не исполняющей своего обязательства стороне труднее всего доказать наличие именно этого последнего элемента. Все потенциальные препятствия для исполнения договора в той или иной степени можно предвидеть. Такие препятствия, как войны, ураганы, пожары, правительственные эмбарго и закрытие международных водных путей, встречались в прошлом и, как можно ожидать, будут иметь место в будущем. Часто случалось так, что стороны в договоре предусматривали возможность препятствия, и это препятствие действительно возникло. Иногда они ясно указывают, приведет ли возникновение этого препятствия к освобождению не исполнившей обязательства стороны от последствий такого неисполнения. В других случаях из содержания договора ясно следует, что одна сторона взяла на себя обязательство исполнить какое-либо действие, несмотря на возможность возникновения некоторых препятствий. В любой из этих двух категорий случаев статья 5 настоящей Конвенции гарантирует возможность приведения в исполнение подобных прямых или косвенных указаний в договорах.

Однако, когда условия договора ни прямо, ни косвенно не свидетельствуют о том, что возникновение какого-либо конкретного препятствия было предвидено, необходимо определить, можно ли было от не исполнившей обязательства стороны разумно ожидать, чтобы она приняла во внимание это препятствие во время заключения договора. Окончательное установление этого может быть сделано лишь судом или арбитражем, исходя из конкретных условий каждого дела.

Если не исполнившая обязательства сторона может доказать, что от нее нельзя было разумно ожидать, чтобы она приняла во внимание данное препятствие во время заключения договора, она должна также доказать, что она не могла ни избежать этого препятствия или его последствий, ни преодолеть их. Это правило отражает принцип, согласно которому сторона, имеющая обязательство совершить какие-либо действия, должна сделать все возможное для выполнения своего обязательства и не может ждать наступления событий, которые в дальнейшем могли бы оправдать ее неисполнение. Это правило также указывает, что от одной из сторон может быть потребовано исполнение договора путем совершения таких действий, которые при всех обстоятельствах сделки являются в коммерческом отношении разумной заменой того исполнения, которое требовалось по договору.

Последствия пунктов 1 и 5 статьи 65 заключаются в освобождении неисполнившей стороны только от ответственности за убытки. Другая сторона может использовать все другие средства защиты, т. е. требование исполнить договор, снизить цену или расторгнуть договор. Однако, если сторона, от которой требуется преодоление препятствия, делает это путем субститутного исполнения, другая сторона может расторгнуть договор и тем самым отклонить такое субститутное исполнение только в том случае, если это субститутное исполнение является настолько недостаточным по сравнению с исполнением, предусмотренным в договоре, что представляет собой существенное нарушение договора.

Даже если препятствие носит такой характер, что делает невозможным какое-либо дальнейшее исполнение, другая сторона сохраняет право потребовать такого исполнения в соответствии со статьями 42 или 58. Не регулируемый настоящей Конвенцией вопрос внутригосударственного права заключается в том, освобождает ли неисполнение обязательства неисполняющую сторону от выплаты суммы, предусмотренной в договоре, за оговоренные убытки или в качестве штрафа за неисполнение, или в том, отдаст ли какой-либо суд распоряжение стороне исполнить свое обязательство в этих обстоятельствах и подвергнет ли он ее санкциям, предусмотренным в его нормах процессуального права за продолжающееся неисполнение(2).

Пример 65 А: По договору требовалась поставка товаров, определенных индивидуальными признаками. До времени перехода риска гибели в соответствии со статьями 79 или 80 товары были уничтожены пожаром, вызванным событиями вне контроля продавца. В подобном случае покупатель не должен платить за товары, в отношении которых не произошло перехода риска, однако продавец будет освобожден от ответственности за любые убытки, вызванные его непоставкой товаров.

Пример 65 В: По договору требовалась поставка 500 станков. До перехода риска гибели станки были разрушены в обстоятельствах, аналогичных примеру 65 А. В подобном случае продавец будет не только нести ответственность за потерю 500 станков, но и будет обязан поставить покупателю дополнительные 500 станков. Различие между этим примером и примером 65 А состоит в том, что в случае примера 65 А продавец не может поставить товары, предусмотренные договором, в то время как в случае примера 65 В продавец может преодолеть последствия поломки станков путем отгрузки взамен их аналогичных товаров.

Пример 65 С: Если станки, отгруженные взамен тех, которые поломаны, в соответствии с примером 65 В не могут прибыть в срок, продавец освобождается от ответственности за убытки, вызванные задержкой поставки.

Пример 65 D: По договору требуется поставка товаров в пластиковых контейнерах. В то время когда упаковка должна была закончиться, пластиковые контейнеры не были поставлены по причинам, не зависящим от продавца. Однако, если имеются другие упаковочные материалы, приемлемые в коммерческом отношении, продавец должен преодолеть это препятствие, используя эти материалы, а не отказываясь от поставки товаров. Если продавец использовал коммерчески разумную замену упаковочных материалов, он не будет нести ответственности за убытки. Кроме того, покупатель не может расторгнуть договор, поскольку не было существенного нарушения договора, однако он может снизить цену, согласно статье 46, если в результате использования несоответствующих упаковочных материалов уменьшилась стоимость товара.

Пример 65 Е: По договору требуется поставка на каком-либо конкретном судне. Вследствие событий вне контроля покупателя или продавца график движения этого судна был пересмотрен, и оно не пришло в указанный порт в срок отгрузки. В этих условиях сторона, ответственная за организацию перевозки товаров, должна попытаться преодолеть это препятствие и найти другое судно.

Хотя, возможно, и верно, что сама по себе несостоятельность покупателя не является препятствием, освобождающим покупателя от ответственности за неуплату цены, непредвиденное введение контроля над валютой или других постановлений аналогичного характера может лишить его возможности исполнить свое обязательство уплатить цену в согласованный срок и согласованным образом. Конечно, покупатель будет освобожден от ответственности за убытки, возникшие в результате неплатежа (которые на практике будут обычно означать проценты от неуплаченной суммы), только в том случае, если он не смог преодолеть этого препятствия путем, например, договоренности о коммерчески разумной субститутной форме платежа(3).

Неисполнение третьей стороны, пункт 2

Зачастую происходит так, что неисполнение одной из сторон вызвано неисполнением своих обязательств каким-либо третьим лицом. В пункте 2 предусматривается, что «эта сторона освобождается от ответственности только в том случае, если она освобождается от ответственности на основании пункта 1 настоящей статьи и если привлеченное ею лицо также было бы освобождено от ответственности, если бы положения этого пункта были применены в отношении его».

Такая третья сторона должна быть тем лицом, которое было привлечено к полному или частичному исполнению договора. Она не включает в себя поставщиков товаров или сырьевых материалов продавцу.

Временное препятствие, пункт 3

В пункте 3 предусматривается, что препятствие, мешающее какой-либо стороне исполнить ее обязательства в течение лишь какого-то ограниченного периода времени, освобождает не исполнившую обязательства сторону от ответственности за убытки лишь на период, в течение которого существовало это препятствие. Таким образом, датой прекращения освобождения от ответственности за убытки является установленная договором дата исполнения или дата устранения препятствия, в зависимости от того, какая дата является более поздней.

Пример 65 F: Товар должен быть поставлен 1 февраля. 1 января возникло препятствие, которое не позволило продавцу поставить товар. Препятствие было устранено 1 марта. Продавец осуществил поставку 15 марта.

Продавец освобождается от любых убытков, которые могли возникнуть вследствие задержки поставки до 1 марта, то есть до даты устранения препятствия. Однако, поскольку препятствие было устранено после договорной даты поставки, продавец несет ответственность за все убытки, возникшие в результате задержки поставки с 1 по 15 марта.

Если задержка с исполнением договора вследствие временного препятствия приводит к его существенному нарушению, другая сторона будет иметь право заявить о расторжении договора. Однако, если договор не был расторгнут другой стороной, его действие продолжается 4, и устранение препятствия восстанавливает обязательства обеих сторон по договору.

Пример 65 G: В результате пожара, уничтожившего завод продавца, продавец был не в состоянии поставить товары по договору в соответствии с предусмотренным в договоре сроком поставки. Он был освобожден от ответственности за убытки в соответствии с пунктом 1 до восстановления завода. Предприятие продавца было восстановлено через два года. Хотя двухлетняя задержка поставки представляла собой существенное нарушение, которое оправдало бы заявление покупателя о расторжении договора, он не выступил с подобным заявлением. Продавец после восстановления его завода должен поставить товары покупателю, а покупатель, если только он не решил объявить договор расторгнутым вследствие его существенного нарушения, должен принять поставку и уплатить оговоренную цену (5, 6).

Обязанность направить уведомление, пункт 4

Неисполняющая сторона, освобождаемая от ответственности за убытки в силу существования препятствия исполнению ее обязательства, должна дать извещение другой стороне о препятствии и его влиянии на ее способность осуществить исполнение. Если такое извещение не получено другой стороной в разумный срок после того, как сторона, не исполняющая своего обязательства, узнала или должна была узнать о препятствии, она несет ответственность за убытки, являющиеся результатом неполучения извещения другой стороной 7. Следует отметить, что убытки, за которые несет ответственность неисполняющая сторона, являются только теми убытками, которые возникли в результате неполучения другой стороной извещения, но не в результате неисполнения.

Обязанность извещения распространяется не только на такое положение, при котором одна из сторон совершенно не может исполнить договор вследствие непредвиденного препятствия, но и на такое положение, при котором она намеревается исполнить договор путем поставки товаров, являющихся разумной заменой в коммерческом отношении. Поэтому продавец в примере 65 D и сторона, ответственная за организацию перевозки товаров в примере 65 Е, обязаны известить другую сторону о предполагающейся замене исполнения. Не сделав этого, они будут нести ответственность за все убытки, возникшие в результате неизвещения. Если они дают извещение, однако оно не приходит, они также будут нести ответственность за убытки, возникшие в результате неполучения извещения другой стороной.

Сравни статью 26, которая предусматривает, что если в соответствии с положениями настоящей Конвенции одна из сторон имеет право потребовать исполнения какого-либо обязательства другой стороной, суд не будет обязан внести решение об исполнении в натуре, кроме случаев, когда он может сделать это на основании своего собственного закона в отношении подобных договоров купли продажи, не регулируемых настоящей Конвенцией.

Ни статья 65, ни какое-либо другое положение настоящей Конвенции не освобождают продавца об обязанности поставить товар на основании того, что обстоятельства изменились таким радикальным образом, что заключенный договор уже не является тем договором, который был первоначально согласован. Конечно, стороны могут включить такое положение в свой договор.

Продавец не будет располагать правом настаивать на том, чтобы покупатель принял товар, если задержка в его доставке представляет собой существенное нарушение договора или если такая задержка создала для покупателя неразумные неудобства или неопределенность в отношении получения от продавца возмещения расходов, понесенных покупателем, даже в том случае, если покупатель не объявил о расторжении договора (статья 4, пункт 1).

Требование того, чтобы извещение было получено другой стороной, возлагает риск передачи на отправителя этого извещения и, таким образом, отменяет общее правило, содержащееся в статье 25.

Имеются ли ситуации, когда нарушившая сторона освобождается от ответственности за возмещение убытков?

Нарушившая сторона освобождается от ответственности за выплату убытков, если нарушение договора было вызвано препятствием вне контроля этой стороны [68] (пункт 1 статьи 79). Вместе с тем в КМКПТ не содержится положений о пересмотре или изменении договора в целях восстановления его первоначального равновесия, если оно было существенным образом изменено в результате непредвиденного последующего события, которое увеличивает стоимость исполнения договора одной из сторон или уменьшает стоимость исполнения договора для другой стороны («существенное изменение обстоятельств» ). Некоторые судебные решения и авторитетные источники толкования доктрин ссылаются на статью 79 как на возможный путь урегулирования таких ситуаций в соответствии с КМКПТ. В статьях 6.2.1–6.2.3 ПМКД содержатся подробные положения, которые могут использоваться для урегулирования последствий существенного изменения обстоятельств в международных контрактах [69] [70].

В соответствии с принципом свободы договора (статья 6) стороны могут отойти от положений Конвенции, прямо исключив или ограничив ответственность нарушившей стороны в случае неисполнения или ненадлежащего исполнения (оговорки об ограничении ответственности и освобождении от нее). Прямое положение об исключении или ограничении ответственности содержится в ПМКД (статья 7.1.6; см. также пункт 378 ниже).

Использованная в Конвенции формула освобождения от ответственности, безусловно, опирается на различные концепции, сложившиеся в праве различных стран. Эти подходы в большинстве не только довольно серьезно отличаются один от другого, но и нередко достаточно неопределенны. В принятом в Конвенции положении в первую очередь отражается доминирующая коммерческая практика.

В ст. 79 заметно стремление создать такое регулирование, которое было бы максимально благоприятным для участников коммерческой сделки, вынужденных, как правило, искать компромисс между стремлением иметь твердое обязательство со стороны контрагента и желанием искать возможность освободиться от собственного обязательства, содержание которого в силу возникших впоследствии обстоятельств изменяется не в его пользу.

Согласно п. 5 ст. 79 освобождение от ответственности в этом случае касается лишь обязанности возместить убытки на основании Конвенции. Пункт 1 ст. 45 и п. 1 ст. 61 предоставляют стороне договора купли-продажи право требовать возмещения убытков в случае неисполнения обязательств другой стороной.

Единственное ограничение в реализации данного права вытекает из настоящей статьи. В соответствии с ней сторона освобождается от ответственности, если она докажет, что:

1) неисполнению препятствовало некое обстоятельство вне ее контроля;

2) от нее нельзя было разумно ожидать принятия этого препятствия в расчет при заключении договора;

3) разумно нельзя ожидать, что она избежит этого препятствия или его последствий;

4) от нее нельзя было разумно ожидать преодоления этого препятствия или его последствий.

Тот факт, что препятствие существовало в момент заключения договора, не имеет принципиального значения в контексте данной статьи. Важно, что для освобождения от ответственности необходимо выяснить, можно ли было от стороны, не исполнившей договор, разумно ожидать, что она примет во внимание факт наличия такого препятствия в момент заключения договора.

Часто вопрос о том, какие препятствия для исполнения договора стороны учли при его заключении, решается в самом договоре прямо или косвенно. В договорной практике весьма широко распространены условия, которые предусматривают основания и последствия освобождения от ответственности при наступлении определенных обстоятельств. Такие условия признаются действительными, несмотря на то, что они по своему содержанию могут отличаться от положений Конвенции.

Если же условия договора ни прямо, ни косвенно не указывают на то, что возникновение какого-либо препятствия стороны предвидели, то необходимо установить, можно ли было от не исполнившей договор стороны разумно ожидать, что она приняла во внимание это препятствие при заключении договора. И окончательное решение по данному вопросу может быть принято, исходя из конкретных условий сделки. Если сторона сможет доказать, что от нее нельзя было разумно ожидать учета препятствия при заключении договора, то она должна также доказать и то, что она не смогла ни избежать этого препятствия или его последствий, ни преодолеть их <1>. Иными словами, сторона должна предпринять все возможное для исполнения возложенного на нее обязательства и не может пассивно ждать наступления события, которое послужит оправданием неисполнения обязательства. Если сторона может все-таки исполнить свои обязательства путем совершения каких-либо разумных с коммерческой точки зрения действий, которые при данных обстоятельствах могут рассматриваться как замена исполнения, предусмотренного договором, то она, не предприняв таких мер, не может рассчитывать на освобождение от ответственности.

Положение об освобождении от ответственности, сформулированное в Конвенции, касается неисполнения любого из обязательств стороны, т.е. распространяется на все аспекты исполнения договора. Возникает вопрос, освобождается ли от ответственности продавец, поставивший не по своей вине дефектные товары. Ответ на него следует давать, обратившись к анализу используемого в Конвенции понятия «препятствие».

Предпочтение, отданное термину «препятствие» вместо слова «обстоятельство» или «событие», объясняется тем, что первое понятие подразумевает объективную характеристику, в то время как названные далее в известной мере опираются на субъективный аспект исполнения.

Положение о том, что освобождение от ответственности не распространяется на поставку дефектных товаров, подтверждает дискуссия при обсуждении проекта Конвенции и принятое решение <1>. Это решение имеет важные практические последствия для покупателей, которые терпят убытки в связи с поставкой товаров, не соответствующих договору. Вопрос, имелась ли «вина» продавца в наличии дефектов, может породить необходимость вникнуть в производственный процесс на предприятии продавца или его субпоставщика. Даже если на продавца (или его субпоставщика) возложить довольно тяжелое бремя доказательств отсутствия «вины», окончательное решение вопроса представляется дорогостоящим и неопределенным. Более того, освобождение от ответственности, которое построено на принципе, предполагающем проявление производителем заботливости в ходе производственного процесса, было названо аномальным и непрактичным по сравнению с освобождением от ответственности, основанным на указании определенных событий.

Конвенция отказалась от использования принятых в национальных правовых системах концепций освобождения от ответственности (невозможность исполнения, тщетность, непреодолимая сила). Объясняется это стремлением избежать размывания унифицированного метода применения подходов, сложившихся в разных странах. В толковании этого важного для всей Конвенции положения источником в первую очередь должна быть международная коммерческая практика, информацию о которой можно было бы почерпнуть, в частности, из достаточно сбалансированных с точки зрения прав и обязанностей контрагентов общих условий договоров, разработанных под эгидой международных организаций, как образованных правительствами, так и объединяющих деловые круги <2>.

В понятие освобождения от ответственности по существу входят те же элементы, которые традиционно образуют понятие непреодолимой силы (форс-мажора). Но использование термина «вне контроля» вместо слова «вина» делает концепцию Конвенции более широкой <3>.

Ключевой элемент освобождения от ответственности — понятие «препятствие». Как отмечалось, этот термин предпочли, поскольку он точнее отражает объективный характер события, что еще более усиливается словами «вне контроля», означающими, что никакое событие, которое не может рассматриваться как «внешнее» применительно к деятельности стороны — нарушителя, не принимается во внимание при решении вопроса об освобождении от ответственности <4>.

Событие, характеризуемое как «препятствие» к исполнению обязательств, должно по существу удовлетворять требованию непредвиденности, как это следует из ст. 79, поскольку от стороны нельзя было разумно ожидать принятия его в расчет при заключении договора. Иными словами, если событие, помешавшее исполнить договор, можно было предвидеть, то нарушившая договор сторона должна считаться принявшей на себя риск исполнения обязательства при наступлении такого события, если, конечно, стороны не предусмотрели в договоре иное. нарушитель докажет, что событие, препятствующее исполнению, наступило несмотря на то, что им были предприняты все необходимые и разумные меры для его предотвращения либо наступления его последствий, то он будет освобожден от возмещения потерпевшей стороне причиненных нарушением договора убытков.

Хотелось бы обратить внимание на то, что указанный критерий все-таки носит слишком общий характер, что, естественно, будет вести к немалым сложностям в решении проблемы, были ли те или иные обстоятельства непредотвратимыми или нет. В частности, данный вопрос приобретает особенную остроту, когда речь идет о так называемой «экономической» невозможности исполнения, под которой в коммерческой практике подразумевается существенное изменение экономических условий исполнения договорного обязательства по сравнению с ситуацией, существовавшей в момент заключения договора. Эта проблема, весьма сложная в теоретическом плане, очевидно, должна решаться при применении Конвенции индивидуально в каждом конкретном случае. Именно тогда можно будет учесть все нюансы ситуации, которые помогут правильно определить часто едва различимую границу между абсолютной невозможностью и чрезвычайной обременительностью исполнения.

Несостоятельность (банкротство) покупателя, в принципе, не считается препятствием в смысле ст. 79 Конвенции. Безусловно, данное событие вряд ли можно считать находящимся «вне контроля» стороны. Хотя, конечно, оценка банкротства в конкретных обстоятельствах может быть и противоположной, если оно стало следствием событий, которые служат основанием для освобождения от ответственности.

Введение непредвиденного запрещения на перевод за границу валюты может создать препятствие для исполнения, например, обязательства покупателя уплатить цену за товар в согласованный срок и согласованным образом. В этом случае, покупатель будет освобожден от ответственности, т. е. возмещения убытков, которые сведутся в большинстве случаев к процентам неуплаченной суммы, если только он не смог преодолеть это препятствие путем, например, договоренности об иной коммерчески разумной форме расчетов <1>.

Общую формулу освобождения от ответственности можно проиллюстрировать примерами из практики, которая указывает на такие традиционные события, как стихийные бедствия (землетрясения, наводнения, ураганы и т.п.), а также обстоятельства, особенно характерные для сферы международной торговли и заключающиеся во все более расширяющемся вмешательстве правительственных органов в эту сферу (ограничения и запрещения экспортно-импортных операций), блокады, военные действия. Аналогичными по последствиям могут стать и такие события, как забастовка, несчастный случай и т.п. Однако следует помнить, что всегда правовые последствия того или иного события должны квалифицироваться в каждом конкретном случае с точки зрения применимых критериев. И поэтому может получиться так, что одни и те же обстоятельства в разных ситуациях будут по-разному влиять на ответственность за неисполнение обязательств.

В регулировании Конвенцией освобождения от ответственности важно то, что ее положения не затрагивают иных прав сторон, которыми они обладают в случае нарушения договора.

Таким образом, сторона-нарушитель может рассчитывать при соответствующих обстоятельствах только на освобождение от обязанности возместить убытки. Но это ни в коей мере не дает ей права считать себя свободной от других обязательств, в частности, она не может расторгнуть договор. Право на отказ от договора потерпевшей стороны в этом случае также не затрагива-

ется. Если же препятствие носит такой характер, что делает исполнение возможным, она вправе потребовать исполнения на основании ст.ст. 46 и 62 <1>.

Конвенция оставляет открытым вопрос о том, как влияет освобождение от ответственности на предусмотренное договором обязательство нарушителя уплатить неустойку за нарушение договора. Эти вопросы должны решаться в соответствии с применимым национальным правом.

Пункт 2 ст. 79 регулирует один из частных, но довольно распространенных на практике случаев невозможности исполнения обязательств, когда оно вызвано обстоятельствами, которые непосредственно не связаны с контрагентом, нарушившим договор, а причиной неисполнения является третье лицо, которое должно быть лицом, привлеченным стороной для исполнения договора полностью или в какой-то его части. Если причина неисполнения договора заключается в неисполнении того, что должно быть предоставлено этим третьим лицом, то ответственность за неисполнение не наступает только в том случае, когда сторона договора купли-продажи сама освобождается от ответственности на основании п. 1 ст. 79. Не будет также ответственности, если привлеченное к исполнению договора лицо было бы освобождено от ответственности, если бы к нему были применены правила п. 1 ст. 79.

Это положение Конвенции отражает довольно распространенную практику привлечения к исполнению договоров субпоставщиков. Суть заключается в том, что неисполнение обязательств субпоставщиком само по себе не освобождает сторону от ответственности; для этого необходимо, чтобы препятствие для исполнения договора субпоставщиком было основанием для освобождения от ответственности стороны по договору.

Действие данного правила можно проиллюстрировать следующим примером. По договору на поставку определенного оборудования, часть которого изготавливается субпоставщиком, продавец может быть освобожден от ответственности, если субпоставщик не исполнит своего обязательства по причине препятствия, являющегося обстоятельством, отвечающим критериям, установленным в п. 1 ст. 79. Для освобождения от ответственности продавец должен будет также доказать, что он не смог нигде достать ту часть оборудования, которую должен был изготовить субпоставщик, и что нарушение договора субпоставщиком нельзя было предвидеть при заключении договора.

Иными словами, продавец отвечает за неисполнение обязательств субпоставщиком во всех случаях, кроме абсолютной невозможности исполнения. В более общей форме это означает, что сторона отвечает перед контрагентом за нарушение, допущенное субпоставщиком, как гарант. В тех случаях, когда продавец сам не выбирает субпоставщиков, это правило может оказаться довольно жестким, что становится особенно очевидным, когда субпоставщиков назначает покупатель.

Пункт 3 ст. 79 предусматривает последствия ситуации, когда препятствие для исполнения договора носит временный характер, т.е. исполнение задерживается на определенное время. В таких случаях и освобождение от ответственности распространяется лишь на тот период времени, пока существует препятствие для исполнения договора.

В данной связи может возникнуть вопрос: обязана ли сторона принять исполнение после того, как прекратило существование препятствие, мешавшее исполнению договора. В принципе, учитывая п. 5 данной статьи, который устанавливает, что положения об ответственности не препятствуют каждой из сторон осуществить все иные права, кроме требования о возмещении убытков, в случае, когда просрочка исполнения обязательств становится существенным нарушением, можно отказаться принять исполнение, заявив о расторжении

договора. С другой стороны, если просрочка в исполнении договора не является существенным нарушением, потерпевшая сторона не может отказаться от принятия исполнения, которое стало возможным впоследствии. Но она вправе использовать все имеющиеся у нее средства правовой защиты, включая требование о возмещении убытков, кроме убытков в связи с просрочкой исполнения.

В п. 4 ст. 79 предусмотрена обязанность стороны, которая не исполняет своего обязательства, известить контрагента о возникшем препятствии и о том, как оно повлияет на ее способность осуществить исполнение. Если эго извещение не получено другой стороной в течение разумного срока после того, как об этом препятствии стало или должно было стать известно не исполняющей свое обязательство стороне, последняя отвечает за убытки, возникшие из-за того, что не получено извещение. Необходимо иметь в виду, что должны быть компенсированы не убытки, являющиеся следствием неисполнения договора, а лишь те убытки, которые возникли в связи с задержкой уведомления об обстоятельствах, препятствующих исполнению.

Обязанность извещения распространяется не только на ситуацию, когда сторона абсолютно лишена возможности осуществить исполнение договора вследствие возникшего для нее препятствия, по и в случае, если она все-таки намеревается исполнить договор, например, путем поставки товаров, являющихся разумной заменой в коммерческом отношении. Если это не будет сделано, то появятся основания для ответственности за убытки, которые возникли в связи с неизвещением.

Если извещение о препятствии исполнению договора не доходит до адресата, то ответственность за убытки, возникшие в результате неполучения извещения, ложатся на сторону, пославшую его.

Концепция освобождения от ответственности при неисполнении договорных обязательств в российском праве несколько отличается от Конвенции. Должник, не исполнивший обязательство, освобождается от ответственности, если сможет доказать, что неисполнение произошло не по его вине (ст. 222 ГК).

Основы (п. 2 ст. 71) в какой-то мере сужают основания для освобождения от ответственности в отношении обязательства при осуществлении предпринимательской деятельности. В этом случае должник освобождается от ответственности, только если докажет, что надлежащее исполнение оказалось невозможным вследствие непреодолимой силы, т.е. чрезвычайных и непредотвратимых при данных условиях обстоятельств (стихийное явление, военные действия и т.п.). Кроме этого, прямо указывается, что к таким обстоятельствам не относятся, в частности, нарушение обязанностей контрагентом должника либо отсутствие на рынке нужных для исполнения товаров.

В практике внешнеторгового арбитража вопрос о квалификации тех или иных событий в качестве оснований для освобождения от ответственности возникал довольно часто <1>. Наиболее общие черты этой практики можно было бы свести к следующему.

Решая вопрос об освобождении от ответственности, когда должник ссылался на невозможность исполнения обязательства, арбитраж соглашался с этим лишь в случаях, когда эта невозможность имела объективный характер, т.е. факт невозможности исполнения обязательства данным должником не принимался во внимание, если исполнение было объективно возможным. Если определенные события создавали лишь затруднения для должника в исполнении обязательства, арбитраж не считал возможным рассматривать их как форс-мажорные. В конкретных делах это касалось таких обстоятельств, как затруднения, возникавшие для должника в силу неблагоприятного изменения конъюнктуры рынка, как внешнего, так и внутреннего. этом также из того обстоятельства, что должник, заключая контракт, должен был предвидеть последствия его исполнения на базе согласованных цен и, следовательно, принял на себя все риски исполнения обязательства в будущем на этих условиях.

Неоднократно в арбитражной практике возникал вопрос об оценке так называемого «юридического форс-мажора», когда выполнение обязательств затронули действия запретительных или ограничительных актов государственной власти. Решение этих проблем во многом предопределялось конкретными обстоятельствами, которые сопровождали заключение и исполнение данных контрактов. Если акты общего характера обычно признавались форс-мажором, то такие события, как неполучение экспортной или импортной лицензии, в большинстве случаев не признавались как основание для освобождения от ответственности.

В практике международного коммерческого арбитража России имеются решения, в которых сторона не освобождалась от ответственности на основании только одного факта неисполнения обязательств привлеченными к исполнению третьими лицами, которое повлекло неисполнение обязательств стороной по договору.

H. Exemptions (Article 79)

Despite non-performance, late performance or lack of conformity, a party is not liable in damages when he is not responsible for his failure to perform. [416a] The Convention‚s provision corresponds to ULIS Article 74(l), [416b] but specifies more clearly the risks which an obligor assumes. It was decided early on not to let exemptions turn on the question of fault. [417] Instead, according to Article 79(1), an exemption is permitted only when the impediment to performance is beyond the obligor‘s control. The obligor is always responsible for impediments when he could have prevented them but, despite his control over preparation, organization, and execution, failed to do so. [417a] In this sense, the obligor „guarantees“ his ability to perform. If he wishes to restrict his liability, he must specify the particular impediments for which he will not be liable. Furthermore, the obligor is liable even for impediments beyond his control, as long as they were either reasonably foreseeable or known to him at the conclusion of the contract. Where the impediments are foreseeable, he must generally accept responsibility if he has not disclaimed liability. [418] In the case of unforeseeable impediments whose origins are not within his control — which, therefore, means that they should be considered to be unavoidable — he must take reasonable measures to avoid or overcome the impediment or its consequences in order to claim an exemption.

The terms of the contract will often describe the extent to which the obligor is expected to prevent impediments to performance which lie outside his own area of control. Guarantees can increase the scope of his liability; disclaimers and limitation can diminish it. In the absence of express terms, the parties’ promises to perform are to be interpreted on the basis of Article 8: The standard, as in Article 74(1) of ULIS, is based on the expectations and intentions of reasonable parties. [419] For example, whether a party supplying goods has assumed the risk of fluctuating markets or risk of war must, in the end, be decided with reference to the actual case and the particular contract. [420] Though the circumstances permitting exemption cannot generally be equated simply with „force majeure“, efforts were made to define them narrowly. [420a] On the other hand, it is irrelevant whether the impediment existed before the conclusion of the contract — the „pre-existing impossibility“ or „pre-existing inability“ of German law — or whether it did not arise until later. [421][page 101]

One of the controversial points in the preliminary UNCITRAL discussions was whether economic difficulties — „unaffordability“ — constitute a ground for exemption. [422] In the end, the general view was probably that both physical and economic impossibility could exempt an obligor. It cannot be concluded, therefore, on the basis of the change in terminology from „circumstances“ in ULIS Article 74(1) to „impediments“ that an impediment in the sense of Article 79(1) of the Convention is only an occurrence that absolutely bars performance, but — under very narrow conditions — impediment also includes „unaffordability“. [422a] As a rule, however, since the obligor generally guarantees his financial capability to procure and produce the promised goods, increased procurement and production costs do not constitute exempting impediments. [423]

In Vienna, the rule on exemption produced primarily two controversial issues: The first involved the scope of the rule; the second the scope of liability for acts of employees, subcontractors and other „third persons.“ Regarding the first, the Federal Republic of Germany proposed the clarification that despite Article 79(5) (restriction of the effects of exemption on damage claims) the existence of grounds for exemption should extinguish the obligor‚s obligation to perform. [424] Comparable Norwegian proposals, [425] corresponding to ULIS Article 74(2), provided for the release of the obligor‘s duty to perform in the event of temporary but lengthy impediments if the circumstances had fundamentally changed in the meantime. There were several reasons for the rejection of these proposals, the foremost being the fear that a release from the obligation to perform could also extinguish collateral rights and secondary claims such as interest. [426] There was [page 102] special apprehension that the Norwegian proposal to Article 79(3) intended to introduce the „theorie de l’imprevision“ into the Convention). [427] Finally, there was the fact that, in cases where obligations are physically impossible to fulfill, domestic legal doctrine -- „impossibilium nulla est obligatio“ would generally prevent a demand for performance anyway. [428] The rejection of the German and Norwegian proposals  [429] can be interpreted to mean that an impossible obligation remains intact and is actionable, as long as the obligee does not declare an avoidance on the basis of a fundamental breach. [429a] Especially in the case of incurable defects for which the seller may not be responsible  [430] under Article 79(1), there is a danger the domestic courts will set fines or penalties based on their rules of procedure for failure to follow an order for specific performance. In the end, such fines or penalties could be the equivalent of granting damages and could even surpass them in amount. In my opinion, a German court could, however, on the basis of Article 28, dismiss a complaint asking for specific performance in such a case. Moreover, recognition of a foreign judgment that ordered specific performance of an impossible act would conflict with German public policy (328(1) No. 4 Code of Civil Procedure; Article 27 No. 1 of the European Convention on Jurisdiction and the Enforcement of Judgments in Civil and Commercial Matters). Above all, it may be hoped that the general belief expressed in Vienna that a judgment for a physically impossible performance would be neither sought nor obtained should lead to a reasonable limitation or Article 79(5).

Article 79(2)‚s rule on responsibility for „third persons“ was even more controversial. [431] Practically speaking, the discussion revolved around the liability for secondary suppliers and subcontractors. [431a] The developing countries, and, even more, the Scandinavian states wanted the seller in such cases to guarantee performance unconditionally. The delegation from the Federal Republic of Germany did not support such an unconditional guarantee because it believed that exceptions were needed for cases in which the seller did not choose the secondary supplier and could not exert influence on him, such as when the supplier had a monopoly or had been chosen by the buyer. In other cases, the seller‘s responsibility for his suppliers in Article 79(1) appeared sufficient and appropriate. In the end, the possibility for exemption  [432] remained the same as provided in Article [page 103] 65(2) of the 1978 Draft Convention, but is presented in a more detailed manner in Article 79(2). [433]

In the application of Article 79, three situations must be distinguished. First, the obligor is always responsible for his own personnel, as long as he organizes and controls their work. Deficiencies and poor performance caused by individual workers, therefore, do not exempt the seller from liability. On the other hand, whether a strike is „beyond his control“ or must be regarded as the employer’s responsibility depends on the circumstances and the extent of the strike as well as the labor laws of the particular country.

Second, where third persons are involved, the seller‚s liability depends on whether he engaged these persons in fulfillment of his contractual obligations to the other party. If he did so -- a situation which corresponds to § 278 sentence 1 of the German Civil Code -- the obligor can only be exempted where the failure was, for the obligor himself, unforeseeable and beyond his control (Article 79(2)(a) in conjunction with paragraph (1)) and the third party personally meets the requirements for exemption from Article 79(1) (Article 79(2)(b)). Article 79(2) therefore increases the obligor‘s liability for third persons who fulfill contractual obligations directly to the obligee, for example, subcontractors who are engaged by the seller to perform directly to the buyer. Finally, Article 79(1) remains the controlling provision in cases where the third party‚s performance is a mere precondition for the fulfillment of the obligor‘s obligations, i.e., where a third party does not directly fulfill the obligor’s duty to the obligee. In particular, the seller is therefore not liable for secondary suppliers when they are beyond his control and their failure could neither be contemplated nor cured. This exemption will apply only in those very few cases when the seller could neither choose nor control his auxiliary suppliers and it was not possible to procure, produce or repair the goods in any other manner. [433a] Nevertheless, explicit limitations on such liability should probably be written into the contract.

A temporary impediment constitutes grounds for exemption only for the length of its duration (Article 79(3)). The importance of this provision is reduced by the fact that the obligor’s duty to perform remains unchanged in the event of exempting impediments. Practically speaking, Article 79(3) will mainly concern [page 104] damages caused by delay, [434] but, of course, other grounds for exemption can arise during the existence of the original impediment, which will then finally discharge the obligor under Article 79(1). Whether the exemption should require a change in circumstances so that — as stated in ULIS Article 74(2) — „performance would be so radically changed as to amount to the performance of an obligation quite different from that contemplated by the contract“, was discussed in Vienna on the basis of a Norwegian proposal  [435] and finally rejected. One can assume, though, that „unaffordability“, that, under Article 79(1), constitutes a ground for exemption, also discharges the obligor from his liability for damages, even where it first appears at a moment when performance is postponed due to another temporary impediment. [436]

The party who is unable to fulfill his obligations must, according to Article 79(4), give notice of the impediment and its effects on his ability to perform. The notice is effective upon receipt (Article 79(4) sentence 2). [437] If a party fails to notify, he must compensate for damages caused by the lack of notice, even if he would otherwise be exempt.

Whether an exemption from liability under Article 79 also constitutes an exemption from contractual penalties and liquidated damages provisions depends on the contractual prerequisites for such secondary claims and the applicable domestic law. The German Democratic Republic’s proposal  [438] to exempt from contractual penalties and liquidated damages parties whose liability for damages is exempted under Article 79 was therefore rejected. [439]

It is imperative, in my opinion to treat radically changed circumstances as „impediments“ under Article 79 in exceptional cases in order to avoid the danger that courts will find a gap in the Convention and invoke domestic laws and their widely divergent solutions. The question was not specifically discussed again in Vienna. There was considerable hesitation about giving consideration to unforeseen changes in the underlying basis of the contract. This again became clear in connection with a Norwegian proposal (A/Conf. 97/C.1/L.191/Rev. 1 = O.R. 134). The Norwegian proposal concerned the case of temporary impediments which later vanish. In that case, consideration would be given to the fact that the economic situation of the debtor might fully have changed. Though the contractual agreement should be decisive in this situation, some delegates apparently assumed that recourse to domestic law would still be possible. [concept of exemptions]

The regulation under the law of contracts has two main functions: to optimize cooperation between the parties and to guarantee reliability on the reciprocal promises. In the latter respect, it is the provision on responsibility which plays a decisive role insofar as it determines the consequences of unreliability. This presupposes a rather clear determination of when there is indeed unreliability. And this is the concern of this Section.

Great demands have to be made on observance by the parties of their contractual promises in international trade. A party who participates in it has to create the necessary prerequisites. This means that obligations assumed generally have to be fulfilled and that subjective reasons for exemptions, which could amount to the party personally doing his best, cannot be taken into account. Best is not sufficient if it is below standard. Normally, international economic relations do not involve individuals but companies whose efficiency is determined by the totality of its employees and their appropriate management. Also, inability in regard to management or fulfilment of tasks cannot be tolerated. On the other hand, the fact that a party has concluded a contract cannot allow him under any circumstances to rely on the rights attested therein, irrespective of which impediments relate to the other party. Conversely, he cannot absolutely guarantee the fulfilment of his obligations. In concluding a contract, each and every party commits himself to fulfilling his obligations and overcoming normal or contractually assumed difficulties, however, not accepting completely unusual difficulties which are the consequence of extraordinary risks. What we are dealing here with is the splitting of risk.

There can be no doubt that there is a close kinship with the rule on risk bearing. That rule supplements the one on exemptions insofar as it determines the point, in regard to location and time, up to which the seller bears responsibility for the delivery of the goods, hence for the fulfilment of his main obligation. Influences on the goods beyond that point are generally to the detriment of the buyer. When they occur before that point, they cause the seller to lose the right to payment of the price. In regard to further consequences in respect of the obligation to deliver, the rule on responsibility [page 316] remains decisive in which reasons for exemption play an important role.

Exemption is possible for two reasons: because of impediments (Article 79) and because of the act or omission of the other party (Article 80). The, effects of the former are less far-reaching than those of the latter (Article 79, page 13 and Article 80, page 3). As to terminology, we use the term „exemptions“ as the generic term for both cases. The notion „impediments“ is used in the Convention to describe the disturbance causing the breach of contract (Article 79, paragraph 1) and the disturbance characterized by certain further features which constitutes the ground for an exemption (Article 79, paragraphs 3 and 4). It is in this latter meaning that we will speak of „grounds for exemption“.

A third ground which produces a similar effect as an exemption, changed circumstances, including hardship or imprévision, whose typical consequence would be an adjustment of the contract, was not included. This is a relatively new phenomenon in legal relations, and it corresponds to the conservative trend of the CISG in that it does not provide for it. The question arises, therefore, whether recourse is to be had under domestic law as assumes Vischer (Lausanne, 176 fol). At any rate in respect of the work contract covered by the CISG, or whether the Convention in not taking up this problem, has turned against the taking account of changed circumstances. In that case, there would be no gap to be filled by national law, like Honnold (443) and Tallon (BB, 591 fol) suppose.

We also believe that in this matter, recourse should not be had under domestic law because of the great differences which exist and because otherwise damage would be caused to the unification of law. The problem should, however, not be dramatized. Taking a not doctrinal but rather operative approach to its solution, it becomes obvious that the Convention offers sufficient prerequisites for it.

To start with, the majority of authors, while making a differentiation in each particular case, recognize that changed circumstances can be impediments in certain cases (page 6.3.). We believe that they constitute a permanent objection not only to claims for damages because of non-performance but, as will still have to be shown (page 13.6.), to the realization of the right to performance. The aggrieved party, hence the partner of the party who is affected by the changed circumstances, thus has only two options left: either to avoid the contract or to accept in this way or another the wishes of the other party to adjust the contract — or wait for better times. This solution resembles the typical legal consequences from changed circumstances. [page 317] The party who is affected by the changes does not have the right to avoid the contract. This is a general insufficiency of the Convention, which is also true of the impediments (page 13.2.). The partner of that party cannot be forced to accept the adjustment under the CISG. This is not possible under quite a number of other laws. Under common law, courts do not shape contracts. After all, the mentioned objection in fact exercises a pressure to adjust which the courts and above all the arbitral tribunals could use to achieve such adjustment.

The grounds for exemption to a certain extent excuse from the non-compliance with specific obligations, as it corresponds to continental European legal tradition, and do not refer to the fate of the contract as a whole as is the case under common law (Nicholas, 234 fol). However, the breach of contract caused by the grounds for exemption can constitute a reason for exemption to the other party. Only in this way, as we believe, can the problem of a counter-performance already made be solved. The other party is refunded that payment and also the advantages drawn by the first party from it when he avoids the contract (Article 81 fol — c. also Honnold, 427 fol). Where the grounds for exemption are only temporarily in effect and the contract is to be retained, e.g. when the goods have already been delivered, but the payment is delayed because of restrictions in transfer, we do not see under the Convention any possibility for the restitution of the performance made. Insofar as it has not been made yet, the party who should actually perform, has manifold options to substantiate a suspension of his performance where grounds for exemption as to the payment exist. The provisions on which he would rely include those which require a concrete synallagmatic connection of specific obligations, like those of Articles 57 and 58, and/or those which generally require such a connection, like those of Article 80 and also Article 71 fol.

There is, in our view, no doubt in regard to the Convention that a breach of contract is always given when the objective facts of a breach have occurred, hence irrespective of whether there are grounds for exemption or not. Exemptions, as can be seen particularly well from the context of impediments, only lead to the removal of certain legal consequences of the breach of contract, while others continue to exist. The reason for it is a breach of contract which cannot be eliminated as such by way of exemptions. From this it follows that the term „breach of contract“ does not necessarily include an accusation. A party is not liable [1] for a failure to perform any of his obligations if he proves that the failure [2] was due to an impediment [3] beyond his control [4] and that he could not reasonably be expected to have taken the impediment into account [5] at the time of the conclusion of the contract or to have avoided or overcome it or its consequences [6].

If the party’s failure is due to the failure by a third person whom he has engaged [7] to perform the whole or a part of the contract, that party is exempt from liability only if:

(a) he is exempt under the preceding paragraph [8]; and

(b) the person whom he has so engaged would be so exempt if the provisions of that paragraph were applied to him [9].

The exemption provided for in this article has effect for the period during which the impediment exists [10].

The party who fails to perform must give notice to the other party of the impediment and its effect on his ability to perform. If the notice is not received by the other party within a reasonable time after the party [11] who fails to perform knew or ought to have known of the impediment, he is liable for damages resulting from such non-receipt [12].

Nothing in this article prevents either party from exercising any right other than to claim damages under this Convention [13].

Commentary

[a party is not liable]

It can be seen from paragraph 5 (page 13) that not being liable does not go so far as it might seem at first sight. [page 319]

It is in our view important to stress that the Convention has developed a concept of its own in regard to impediments, which cannot be directly traced back to any national law. This saves from borrowing from a domestic law in interpretation, which could be very misleading, especially when it comes to one’s own domestic law. We, therefore, believe that it is not very helpful when Nicholas (Freiburg, 286 fol) tries to prove that the Convention is based on a concept of fault. Possible clues for it from its history can be interpreted differently (Schlechtriem, 95), and representatives of the legal systems which provide for liability in the case of fault do not see that concept implemented in the Convention (Stoll/Freiburg, 270). Vischer (Lausanne, 174) who wants to recognize in the rule of liability under the CISG what he considers as the Anglo-Saxon model, is the — though considerably more restrained — counterpart of Nicholas.

For this reason we are, like Tallon (BB, 595), also skeptical in regard to the recommendation by Honnold (434) to adopt the comparative law approach when it comes to the interpretation of the grounds for exemption. There are no generally recognized methods which could be used to comprehensively identify the prevailing patterns and trends of modern domestic law which he recommends.

There is, however, another proposal by Honnold (434 fol) which we consider as acceptable, namely to obtain ideas for the interpretation of the grounds for exemption from contractual practice. Clauses, model contracts, etc. which have prevailed in a certain context, can play a role in this regard. However, the General Conditions of the ECE Nos. 188 and 574 mentioned by Honnold, inter alia, do not seem to be the best examples to give because they are quite favourable to the seller and are criticized by the developing countries.

The term „failure to perform“ is to be conceived here in the broadest sense of the word. Apart from late performance and non-performance it includes, in particular, non-conform[ing] performance and relates to the obligations of both the seller and the buyer.

The possibilities of exemption in the case of non-conformity are unusual for the common law, so that differences of opinion become visible where interpretation is concerned. The CISG uses the notion „impediments“ (in this case in the meaning of disturbances, compare Introductory remarks 3) and no longer mentions „circumstances“ as in Article 74 ULIS, the discussion of which had been controversial already at that time. Honnold (430 fol) has tried to assess this fact in such a way as to explain that this modification was to exclude exemption in the event of non-conformity. This is doubted even by other common law representatives (Nicholas, 240), and this has [page 320] been rightly contradicted by others (Tallon/BB, 579). The clear wording of the introductory part of the article cannot be changed by pretending that an impediment could not cause non-conformity (in this sense, also Vischer/Lausanne, 177 fol). But we, too, are of the opinion that these differences of opinion are of little practical weight, because impediments as defined in Article 79, paragraph 1 will seldom be the cause of non-conformity (c. also Stoll/Freiburg, 275).

[if he proves that the failure to perform was due to an impediment]

The exemption becomes effective when the non-performance, breach of contract, is based on an impediment which cumulatively fulfils three conditions (notes 4–6). The decisive prerequisite for an impediment to be taken into consideration is its causality in regard to the breach of contract. It is also possible that the impediment excuses only part of the breach, like for instance one part of the period of delay where the delivery is not made within the period for delivery.

When the impediment occurs during the delay, its causality for the breach of contract is given only if it had an effect in the case of delivery within the period prescribed (Rudolph/Moscow, 82).

The causality of the impediment for the breach of contract, in this case by the seller, depends on how much the goods have been individualized. The two extremes in this regard are specific and generic obligations. With respect to specific obligations, it should be sufficient for an exemption that the impediment has an effect on the goods themselves. Where limited generic obligations are concerned, which have to be fulfilled by delivering goods from a certain manufacturing plant or by delivering goods from a certain region, from an agreed stock, etc., exemption will be granted when the limited generic goods are affected. When it is affected only partly, the buyers to be delivered would have to be supplied in part, where this is possible. Otherwise, the seller should have a choice to decide in good faith who he supplies. In the event of obligations in regard to unlimited generic goods, it will generally be difficult to grant an exemption. The seller may, however, prove that because of impediments he was not in a position to obtain supplies of the generic goods in question. Similarly to Vischer (Lausanne, 178) and unlike Tallon (BB, 582), we are of the opinion that the principle „genera non pereunt“ cannot be used within the scope of the CISG to prove that exemption is excluded where generic obligations are concerned. Like in the case of obligations in regard to specific goods, it will be granted when the goods are clearly identified to the contract with a view to fulfilling generic obligations.

Unlike Tallon (BB, 583), we believe that it cannot be required that the impediment is the exclusive cause of a breach of contract. This is true not only of cases in which it covers the breach of contract only partially, but the impediment should in our view also be accepted when a cause overtakes another cause. In an example given by Tallon, improperly packed goods later perish because of an accident which constitutes an impediment. Tallon does not want to allow an exemption. We believe that it must be possible. It is only the damages which are affected by the exemption, and the damage to the buyer has not become worse because of the fact that the perished goods were packed improperly. (We neglect here that Tallon distorts the problem by demanding accident-proof packing.) It is decisive, as we hold, whether the impediment lastly has caused the breach of contract. If this is so, it consumes other breaches of contract for which there are no grounds for exemption insofar as those no longer appear independently.

The burden of proof for the existence of impediments lies with the aggrieved party.

A list of impediments which takes into account such typical categories as natural phenomena; decisions by the State; other extraordinary events (war, blockade, accidents); acts by third parties (sabotage, robbery); and forms of industrial action was not included. Many of the above-mentioned phenomena will generally become impediments. But they are not such per se and without any examination; further criteria must serve as the measure for them. From this it may result, for instance, that a fire, which in most cases will constitute an impediment will not be such in a specific case because the person concerned has violated the most elementary requirements of protection against fire so that the result was within his control.

The parties often agree concrete impediments which can be examined in regard to their causality for the breach of contract, but not to their character as impediments (page 4–6).

In requiring that the impediment must be beyond the control of the party concerned, the scope of risk of the latter is determined, though only roughly.

Within the control of the seller are all those factors which are connected with an orderly organization of his manufacturing and/or procurement process. To explain this in giving an example, he must have the necessary capacities in terms of personnel and technical equipment, use them appropriately and maintain his equipment according to his expert judgement so as to prevent any breakdown. [page 322]

His control also includes that he disposes of the required financial means to ensure manufacture and procurement, timely takes care of needed sub-supplies, and does all that is in his power to obtain authorizations by the State.

Opinions may differ as to whether strikes are beyond the control of the party concerned, for their causes are often found in the enterprise. We believe that one should follow those authors who like Vischer (Lausanne, 179) take a careful stand in the matter and do not exclude strikes as impediments, except when they are internal confrontations at a factory and provided that the other conditions of impediments are fulfilled, too (c. also Tallon/BB, 584). Rudolph (Moscow, 84) even believes that strikes could generally be considered as possible in the context of negotiations on pay and therefore would not constitute an impediment (page 5) because they happen at specific intervals. This is true of strikes which can be foreseen at the time of the conclusion of the contract. Lockouts are, at least to a certain extent, not exterior to the activities of the debtor and can, therefore, not be considered as impediments (Rudolph, ibid).

[and that he could not reasonably be expected to have taken the impediment into account]

This second condition, which an impediment to cause an exemption will have to fulfill, describes in a very flexible manner the criterion of foreseeability, which is known from the force majeure clauses.

Insofar the impediment was in existence even before the contract was concluded, it has to be required that the party concerned neither knew nor, as we believe, ought to have been aware of it because otherwise he would have had to take it into consideration.

Where the impediments occur before the contract is concluded, they will in part be such as to render performance impossible, e.g. a specific good is lost before the time of the conclusion of the contract, and in part such as to hinder it only temporarily. In respect of the former case, national laws often stipulate that declarations and/or contracts regarding impossible performances are void. For this reason, some authors (Tallon/BB, 578) believe that because of Article 4, subpara. (a), domestic law will have to be applied so that the Convention becomes irrelevant in this context. We can, however, not join such a view because of the considerations expounded already in another context (Article 68, page 5.4.).

The rule does not require foreseeability per se. Here we see a difference, compared to the usual rules and clauses governing cases of force majeure. In the end, most of the phenomena that might become impediments are foreseeable. It is, however, not expected that such events are taken into account which, given general foreseeability, [page 323] are not expected to materialize before the contract is performed and/or if they do nevertheless, they are at least not expected to have an effect on it.

These expectations are further qualified in stipulating that they will have to be reasonable, i.e. that it is proceeded in the customary way, like comparable parties would do. Thereby, an objectivization is effected.

[at the time of the conclusion of the contract or to have avoided or overcome it or its consequences]

It is in line with the general liability of the parties in regard to the obligations they have assumed that they have to counteract impediments. The two main forms of doing so are mentioned here.

First, disturbances will have to be avoided. In order to achieve this, measures will have to be taken against such impediments which are generally looming ahead but cannot, a priori, be put in relation to the fulfilment of concrete obligations. These include measures of protection against accidents and specifically fire; a factory management which guarantees peaceful labour relations; etc. Above all, measures have to be taken against disturbances which are clearly approaching.

Second, where a disturbance has already revealed itself, it has to be overcome as speedily as possible invoking, for instance, remedies against hindering decisions by the State insofar as they have a chance of succeeding. It is the requirement of overcoming which is aimed at removing the consequences of disturbances. Hence, the effects of accidents have to be removed fast. No clear distinction can be made between avoidance and overcoming when it comes to looking for a replacement for a supplier lost.

The yardstick used to measure the efforts of the party concerned is again what can reasonably be expected from him. And that is what is customary, or what similar individuals would do in a similar situation. The exemption is thus granted when efforts would have been necessary that go beyond the former.

[change of circumstances, hardship] The Convention provides no specific rule as to whether a disturbance which does not fully exclude performance, but makes it considerably more difficult, such as change of circumstances, hardship, can be considered as an impediment. The facts of that case would have to be considered in the context of Article 79. The majority of commentators, therefore, want to allow changes in the circumstances in serious cases to be impediments (Schlechtriem, 96; Honnold, 443; Vischer/Lausanne, 178 fol). Herein we also see the best way for finding a solution. There is nonetheless a conspicuous reticence on the part of the authors in regard to their general commitment [page 324] to it and also in regard to its importance. But if one takes the wording of the CISG literally (and what is at issue here is the obligation to avoid and/or overcome) and applies it to the main case of changed circumstances, to the changes in the ratio between performance and counter-performance, one has to note that the subsumption, actually is not that extraordinary. It is in our view not the essential criteria whether the party concerned would be put on the way to ruin in the event of non-recognition of the exemption (Vischer/Lausanne, 179) because then the subjective financial liquidity would be decisive. Neither can one, like Schlechtriem (96) does, infer the non-recognition of the impediment from the liability for financial liquidity. The criterion for it is the limit of what can reasonable be expected. It may be different in the different sectors, and speculative transactions hardly permit reliance on such impediments. It seems to us that in shifting the equivalence by 100 per cent, the extent of efforts which can reasonably be expected is surpassed; and this is frequently the case when the discrepancy is much smaller. This is true, however, of both directions, wherefrom follows a pressure to adjust in most cases (Introductory remarks 2). Stoll (Freiburg, 274) who represents the outsider opinion that economic impossibility and Wegfall der Geschäftsgrundlage (which is the terminology used in the FRG), do not constitute impediments in the meaning of Article 79, concedes, however, that insistence on unchanged performance could contradict the requirement of good faith under Article 7, paragraph 1. This view is more flexible than the one held by a majority because it does not tie to the inflexible scheme of legal effects under Article 79, in particular paragraph 5. Without wanting to speak in favour of rejecting changed circumstances as impediments, we do not want to exclude reliance on good faith in these cases. This follows from the fact that one form of changed circumstances, frustration of purpose (the plant for whose reconstruction a machine is to be delivered is destroyed by an earthquake), cannot be solved by invoking Article 79. What good is a possible exemption from payment of damages because of not taking delivery, when the obligation to pay the price is retained and is probably secured irrevocably, and when the obligation to take delivery of the goods continues to exist (page 13). Tallon (BB, 593 fol) has good reasons to attack recourse to good faith, but the same reasons, vagueness, in the end, unfortunately also apply to the other solution.

Anyway, the discussion shows that at present it cannot be determined with sufficient security how the issue of changed circumstances can be decided on the basis of the CISG. The parties are, therefore, urgently recommended to make arrangements in the matter and/or to exclude adjustment (Maskow, Bewältigung, 16, as well as other solutions in PICC, Article 5.2.1. to 5.2.3.). [page 325]

It is to be welcomed that the CISG, by contrast to Article 74 ULIS, directly bears on the problem of exemption where a breach of contract is caused by a third party, even if an interpretation of the relevant rule in detail proves to be difficult.

A third party whose non-performance can also lead to exemption of the debtor is defined in the Convention itself so that supplementary recourse to national law, e.g. in regard to a sub-contractor, is not necessary. From the possibility of exemption granted as an exception follows basic liability of a third party.

In respect of the categories of persons involved in the performance of the contract, apart from the actual parties to it, most commentators distinguish three groups: (a) the employees of the parties; (b) those, who on the basis of relevant contracts with one of the contracting parties, create the general prerequisites for the party in question to conduct his business (in the following referred to as suppliers); and, (c) those who are described in paragraph 2 (in the following referred to as sub-contractors). Every party basically has the right to engage such third parties. Insofar nothing to the contrary follows from the circumstances or the contract, for a Pakistani proposal, which aimed at making that right dependent on agreement, was rejected (O.R., 134 fol).

Apart from a few exceptions, the first category includes mostly natural persons, whereas the other two are composed of mostly legal persons. Every party is responsible for the conduct of his employees, at least where the latter are used in the organization of contract performance and where their behaviour is concerned. We would, however, not go so far as Stoll (Freiburg, 276) who presumes that the party should always vouch for them. If a party had employed, in excusable ignorance, a saboteur or an arsonist, he should not be liable when that person becomes active. The exemption would, however, have to be granted on the basis of paragraph 1 in this case.

There are problems when it comes to delimiting categories two and three. We have already given a definition of the supplier. These include suppliers of raw materials and parts, electric companies, providers of communal services, etc. In the context of omission on their part, the party can, according to an apparently unanimously held view, be exempted only under paragraph 1, but not paragraph 2. [page 326]

A sub-contractor, finally, can be defined as taking charge of part of the contract performance. His performance is, therefore, regularly aimed at fulfilling a certain contract. This notion includes companies which manufacture or introduce the goods to be delivered on instruction by the seller an deliver them to the buyer. It also includes carriers who work for the one or the other party. The fact that a third party carries out a performance directly vis-à-vis another party may indicate that he is a third party in the meaning of the CISG. As to its definition, the third party has to be legally independent of the party for whom he works. But it is, in our opinion, not required and not necessary that he be economically independent. The rule requires the existence of grounds for exemption on the part of both the contracting party and the third party and hinders, therefore, a conspiracy between them (seemingly of a different view Tallon/BB, 585).

There was no agreement at the diplomatic conference as to how far the exemption under paragraph 1 would reach and whether or not the one under paragraph 2 would entail stricter liability (O. R., 378 fol). A more detailed analysis, in our view, produces the result that the differences between the two paragraphs are not that great and that, above all, it cannot be said whether the one or the other of the two paragraphs offers a basis for stricter liability. We wish to demonstrate this in comparing a classic supplier and a classic sub-contractor. When a supplier fails to deliver, the seller (the same applies to the buyer who, for instance, is to supply sub-deliveries) does not have to prove that there were grounds for the exemption of the former, but only that this was the case in regard to himself. In this context he can even rely on failure by the supplier, and it will then be examined whether this constitutes a reason for exemption. In general this will not be the case because recourse can be demanded to other sources. Where there are, in exceptional instances, no such sources, e.g. because only one electric power company can be engaged or the only possible supplier of certain microelectronic chips has sold elsewhere, exemption can be granted even though, especially in the latter case, the supplier has obviously not breached his obligation because of grounds for exemption (c. also Honnold, 439 fol).

Let us consider now the case of the sub-contractor. The impediment is, similar to the case of the supplier, a breach of contract by the third party. But by contrast to the former example, the breach of contract is not a ground for exemption of the third party when the reason for exemption is given for the seller. It must have been given also for the sub-contractor. Because of this cumulation, greater requirements are made for an exemption to be granted. Conversely, [page 327] the requirements that are made for the seller’s own conduct to be a ground for exemption are less far-reaching (page 8).

It can thus be summarized that the exemption under paragraph 2 is granted for such impediments which are based on non-performance by a certain category of partners of the seller. It is judged according to criteria which, because of the different actual circumstances, diverge from those of paragraph 1. Constellations that are comparable in structure can, therefore, lead to an exemption under paragraph 1, but not under paragraph 2 or vice-versa. The attempt to compare the strictness of the two norms is therefore misleading.

A differentiation of the rule aims toward finding proper solutions for different circumstances. It has to be admitted, however, that the distinction between supplier and sub-contractor is not always easy (so already the Danish delegate at the diplomatic conference — O.R., 379). Often this question can only be answered considering the function of the rule. Insofar we can agree with Honnold (441) who does not want to apply paragraph 2 in the event of a pure re-sale, assuming that the goods resold are goods which have already been manufactured and are the subject of an obligation to deliver unascertained goods. In that case, there would be an obligation to procure the goods (so also Oberlandesgericht Hamm in a decision of December 19, 1983 in the case 24310/82 on the similar Article 74 ULIS — printed in Schlechtriem/Magnus, 294 fol). Where, by contrast, equipment that is tied to a project is ordered for re-sale and is destroyed when almost finished, paragraph 2 will apply.

In the discussions at the diplomatic conference and in publications, the question of an imposed sub-contractor was also dealt with. According to our experience, it plays a role in regard to all categories of persons engaged in the performance of the sales contract, even though there are differences as to the degree. We believe that the imposed engagement of third parties in the fulfilment of the contract does not per se lead to a change in liability for him (in this sense also Tallon/BB, 585; of a different view apparently Loewe, 97). However, if the buyer requests the seller to employ workers from the buyer’s country to assemble the machines delivered and/or to engage specific suppliers, hence in the event that liability in the meaning of paragraph 1 is invoked, the feature „beyond his control“ would be affected because the scope of influence of the buyer would be diminished to this extent. We can subsume (page 8) also a reduction in the liability for the sub-contractor under this rule. This is relevant for an exemption only insofar as it caused an impediment. Exemption can, for instance, not be granted when the forcedly employed workers have been insufficiently organized and [page 328] instructed, but it can very well be granted when the personnel made available has not been sufficiently qualified.

If one assumes under paragraph 2 the existence of liability for the orderly choice of the sub-contractor, as it is done in some publications (page 8), exemption should be granted from it, fully or partially, depending on the situation in the event that the sub-contractor was imposed. But the buyer is not helped when the third party does not supply without grounds for exemption being given. Therefore, the solution offered by Vischer (Lausanne, 180) is understandable and should not be neglected insofar to reject liability relying on Article 80. It has to be taken into consideration, however, that the engagement of a third party regularly will have been fixed up to the conclusion of the contract, so that the seller acts in performing an obligation under the contract. There is an indirect causality of the buyer’s acts in regard to the breach of obligation by the seller in these and similar circumstances. Therefore, additional contractual agreements are recommendable.

The rule will be of practical relevance mainly for the obligations of the seller. But it refers, as already repeatedly indicated, to both parties. It may gain relevance for the buyer, for instance, when he engages a carrier in the event of Ex works deliveries or when the delivery in a distance sale is to be made to a third final purchaser who is to fulfil the obligation of the buyer to take delivery of the goods. Here, too, the question may arise whether the party is to be considered the counterpart of a supplier or a sub-contractor, which is to be answered in accordance with the criteria indicated. We cannot follow Stoll (Freiburg, 278) who for such cases seemingly assumes a general parallel to the case of the supplier.

The fact of full performance by a third party is given above all, when he, in a distance sale, delivers directly to the buyer. A splitting of performance can be done in regard to the goods (the third party delivers only part of the goods) or also in regard to the completion of a successful delivery (the third party carries out only one of the necessary partial operations, e.g. transport).

[he is exempt under the preceding paragraph]

It is spelled out in publications that the exemption under paragraph 1 in this context refers above all to the choice of a third party (Tallon/BB, 585). We doubt that this is what is meant. To start with, this argument strongly resembles the civil law principle of liability for fault in choosing a third party and may insofar cause suspicion among common law jurists. But also, apart from this fact, it is not convincing. When grounds for exemption have arisen on the part of a third party, it is not understandable why the correct choice of the third party should matter. It is irrelevant because unsuitability is no [page 329] reason for exemption. Conversely, a correct choice does not help the party concerned when there are, at the same time, no grounds for exemption on the part of the third party. An interpretation of subpara. (a) which aims at integrating into the acts of the third party the engaging party by way of the obligation to a correct choice of the former leads, therefore, to absurd results.

By contrast, the principle of correct choice, taken by itself, is of relevance in the context of paragraph 1, namely both in connection with the scope of influence of the party concerned and its obligation to avoidance. The engaging party has a responsibility for choosing a suitable third party of which he can discharge himself when he could not fulfil it because of impediments. But this does not concern the issue discussed here.

The discussion at the diplomatic conference could not convince us that there is consensus on the substance of subpara. (a). It has, therefore, to try to give an interpretation following objective criteria. In our view, the rule should be conceived to apply only when an engaging party and a third party jointly undertake an act which proves to be a breach of contract. Hereby they can act successively (grounds for exemption because of belated delivery and delay in transportation) and jointly. The exemption always reaches as far as it applies to one or both of the parties. Where the breach of contract is committed only by the third party, subpara. (a) becomes irrelevant. Hence, when the goods identified to a contract, because of a seaquake, perish during transportation before the risk has passed, exemption will be granted even when the seller has not orderly chosen the carrier. This interpretation is not customary, but it seems to us that it meets the idea of the rule best.

[and the person whom he has so engaged would be so exempt if the provisions of that paragraph were applied to him]

Irrespective of whether the CISG applies to the relations between the engaging party and a third party, the grounds for exemption provided by it are used as the measure for judging whether or not exemption will be granted. This fiction has the effect that there will not necessarily be congruence in assessing the claims which are asserted vis-à-vis the engaging party, on the one hand, and his claims for recourse vis-à-vis the third party, on the other. This is the case, in particular, where the non-performance is caused by a carrier who can obtain exemption for other reasons. Therefrom results the requirement to diminish discrepancies in the process of shaping the contract. It has to be taken account that it will not be easy for the engaging party to prove impediments when the third party can obtain exemption on completely different grounds. [page 330]

[the exemption provided for in this article has effect for the period during which the impediment exists]

While at the end of paragraph 1 a distinction is made between the impediment and its consequences because under that paragraph, they are addressed separately in relation to the obligation of avoidance or overcoming. Such a differentiation is not made here. But the „period during which the impediment exists“ has to be conceived in those cases in which there is a difference between it and his consequences, e.g. earthquake and its consequences in contrast to temporary ban on transportation, as including the period during which its consequences have an effect. However, not every period actually used to overcome the consequences is to be taken into account, but only that which is necessary provided that the party concerned makes appropriate efforts. A proposal by the former GDR, which provided for expressly mentioning the consequences, was referred to the Drafting Committee and taken into consideration and, in accordance with the Norwegian proposal, the word „only“ before „period“ was deleted (O.R., 135 fol).

In particular, where the overcoming of impediments is concerned, this temporary exemption can be of great relevance. When, for instance, a supplier (page 7) fails to deliver, there is no permanent ground for exemption because of the general obligation to supply. But the delay, which, depending on how long before the period for performance the failure occurred, arises because another supplier will have to be found, may be excused.

In our interpretation (page 13.6.) this rule, even though not with the desirable clarity as to the substance and the legal techniques, has the effect of suspending the obligation to perform as it is often prescribed in international economic contracts and in some instances also in laws as the primary consequence of force majeure.

[the party who fails to perform must give notice to the other party of the impediment and its effect on his ability to perform. If the notice is not received by the other party]

Account is insofar taken of the receipt of a notice. This is done in deviation from the rule of dispatch as spelled out in Article 27, but corresponds with Article 48, paragraph 4. This is important insofar as that notice can be conceived as a notice under Article 48, paragraph 2 or 3. The term „received“ should be interpreted by analogy in the same way as the term „reaches“ in Article 24.

[within a reasonable time after the party who fails to perform knew or ought to have known of the impediment, he is liable for damages resulting from such non-receipt]

This is the damage which is caused and/or could not have been avoided because the creditor of the performance concerned was not given proper notice of the impediment.

[nothing in this article prevents either party from exercising any right other than to claim damages under this Convention]

This laconic formulation offers many tough nuts to crack in regard to interpretation. [page 331]

[impact on penalty or liquidated damage clauses] First of all, it will have to be clarified how far the notion of damages reaches. A proposal by the former GDR to expressly include penalties under the contract in their different manifestations (penalties and liquidated damages) was rejected without being put to a vote (O.R., 135), but above all because penalties under the contract are not a claim following from the Convention and the shaping of contracts in that respect should not be influenced (O.R., 385 fol). This objection is not realistic insofar as penalties are agreed frequently without the question of possible exemptions being touched upon. If the latter happens, the contractual agreement will in any way supersede the Convention. The reasons given for the rejection do not exclude that, other contractual clues lacking, the grounds for exemption will also be extended to penalty claims (so also Loewe, 96. The Secretariat’s Commentary (O.R., 55), however, is in favour of applying domestic law). This does not apply to interest claims (Article 78, page 2.1.).

[right to avoid the contract] The existence of grounds for exemption without any doubts (but see Tallon/BB, 589 fol) does not preclude the right to avoid the contract. That right is given above all when there is a fundamental breach of contract. The character of a conduct being a breach of contract is not affected by the existence of impediments (Introductory remarks 5.). It is, in our view not excluded that the existence of impediments is taken into consideration where a breach of contract is classified as fundamental. From a doctrinal point of view, this may be substantiated by the principle of good faith. But this indicates that the risk for the emergence of such grounds should not be located adopting a one-sided approach. A point in favour of this opinion is furthermore that the definition of a fundamental breach of contract in Article 25 in a certain way refers to the conduct of the party in breach, even though it relates mainly to the effects the breach of contract has on the other party. The expectations of the latter may, however, be influenced by the possibility of impediments.

It is problematic though that even where grounds for exemption exist, the right to avoid the contract remains limited to the party against which the breach is committed. Considerations by the former GDR following a less far-reaching Norwegian proposal to introduce such a right also for the other party (O.R., 134 fol, 381 fol) did not meet with a response so that the problem is now to be solved in the context of the right to performance (page 13.6.). [page 332]

[right to delivery of substitute goods] The rights to delivery of substitute goods (Article 46, paragraph 2) or repair (Article 46, paragraph 3), persist where there are grounds for exemption. When the latter, however, hinders the satisfaction of exactly those rights, and is taken into account in the conditions for repair claims, the general problem of the right to performance will arise (page 13.6.).

[right to reduction of the price] The right to reduction of the price (Article 50) is not affected because it is aimed at maintaining the originally agreed equivalence and does not constitute a claim for damages.

The fact that claims under notes 13.3. and 13.4. which emerge in the event of delivery of non-conforming, hence defective goods, are retained by all means shows that there is no reason to exclude liability for non-conformity from the grounds for exemption. The claims of the greatest practical relevance continue to exist. Many laws are still cautious when it comes to approving damage claims because of non-conformity.

[right to require performance] There will still be the right to performance when there are impediments. This seems to amount to an obvious contradiction because it is supposed that performance is not possible. Requests by Norway and the FRG, which had intended to avoid this, could not be carried through (O.R., 134 fol). Given today’s far-spread practice of credit sales in international trade, the following situation is characteristic: The seller has delivered the goods, but because of currency transfer regulations introduced later, payment is prevented. The seller could withdraw from the contract in this case, but may not be interested in doing so because for commercial (the goods have effectively been sold to a third party) or foreign trade reasons (re-exportation is prohibited) he cannot again obtain possession of the goods or because he cannot use them for another purpose. Should he therefore be hindered to require payment? Such concerns as they have been articulated, in particular by Soviet delegates (O.R., 384), have prevented many delegations from supporting the FRG proposal. At the diplomatic conference, it was not possible to find a flexible answer to the question of what is to become of the right to performance. The rigid solution that has been adopted led to the most diverse interpretations which were guided by the idea of making it manageable in practice.

It has become clear at least that the right to performance continues to exist in the event of temporary grounds for exemption and that auxiliary claims that are related to it, like interest, continue to accumulate thus stimulating, as in particular the Swedish delegate stressed at the diplomatic conference (O.R., 384), the parties concerned to make greater efforts to overcome the impediments. Furthermore, [page 353] the synallagmatic connection to the corresponding right of the other party is underlined.

On the other hand, the prevailing opinion at the conference (O.R., 383 fol) was that a non-fulfillable claim must not be granted. This is reflected in publications. But there are differences in details. Tallon (BB, 589 fol) is in favour of dissolving the contract by virtue of law in the event of a total and definitive failure to perform, but it is not clear whether it should be based on national law or the Convention. The view expressed by Rudolph (Moscow, 86 fol) in 1983 amounts to something similar. We do not consider that interpretation as correct. It contradicts the wording of the Convention and also the renunciation of the ipso facto avoidance as it was completed with the transition from ULIS to the CISG. The argument that a party could be forced to perform although the other party is hindered by impediments, is not conclusive because the functional synallagma is secured by the Convention in many ways (e.g. Article 71 fol; 80). Others would have wanted to invoke domestic law by way of Article 28 in order to avoid a sentencing by a court in respect of performance (Schlechtriem, 51 and 97; Vischer/Lausanne, 175 fol). We do not think that this is the optimum way but believe that, in general, it is well-founded and acceptable. Even though national laws diverge in the matter, it is not to be reckoned with that this would lead to serious differences in the practical application of the CISG. The rights to performance should, at any rate, be seldom asserted where there are impediments, whether disputable or not. Claims for damages will generally dominate because the creditor of the characteristic performance cannot wait until a decision is taken on a right to performance whose possibility of realization may be doubted after all. Claims for payment which are granted cannot be realized easily either when there are impediments in their way, but the interest continues to accumulate until performance. And, furthermore, there might be opportunities for execution which are not touched upon by grounds for exemption, e.g. assets of the debtor in countries where there are no currency transfer regulations which may constitute grounds for exemption.

If one wanted to avoid the unequal treatment of obligations in money and goods which is entailed, one would have to try to develop an interpretation that conforms to the Convention and would apply to both obligations as the optimum solution. It could amount to that a right to performance must not be awarded insofar as the grounds of exemption are in effect. A relevant sentence could thus only require performance after they have ceased to be effective. Interest would continue to accumulate until that time. It is difficult, however, to discover a respective principle (Article 7, paragraph 2) in [page 334] the CISG which avowedly does not provide for issues of validity (Article 4, subpara. (a)).

In some cases, the problem can be solved in that it is assumed that the right to performance is aimed to deliver a commercially reasonable substitute (Nicholas, 241; Secretariat’s Commentary, O.R., 55). We believe that the party affected by impediments can only be obligated to deliver such substitute in exceptional cases because this otherwise could lead to a far-reaching and, above all, undefined modification of his obligation to perform. When, for instance, payment in the agreed freely convertible currency is prohibited, but can be made in other such currencies, it will have to be assumed that the buyer has the obligation to switch to those currencies. By contrast, it may be too far-reaching when the seller in the event of a prohibition of fluorocarbons as propellant is obligated to use other propellants because he might lack the technological prerequisites for it. When the party concerned, because of the performance requirement offers substitutes, the other party would contradict his own behaviour and thus violate the principle of good faith in international trade (Article 7) were he to reject them, even though they are commercially equivalent. This offers in our view a basis for permanent objection to the claim for performance. The same applies when the seller offers the substitute on his own and its rejection would be considered as an harassment (Article 7).

[stimulus to renegotiation] This may have served to show that the rule governing grounds for exemption, as rigid as it may seem at first sight, in practice might well help to initiate a process of negotiation among the parties to solve the problems that have arisen. It is exactly in this direction that often aim the contractual clauses on force majeure. [page 335]

(Освобождение от ответственности)

Сторона не несет ответственности за неисполнение любого из своих обязательств, если докажет, что оно было вызвано препятствием вне ее контроля и что от нее нельзя было разумно ожидать принятия этого препятствия в расчет при заключении договора либо избежания или преодоления этого препятствия или его последствий.

Если неисполнение стороной своего обязательства вызвано неисполнением третьим лицом, привлеченным ею для исполнения всего или части договора, эта сторона освобождается от ответственности только в том случае, если:

она освобождается от ответственности на основании предыдущего пункта; и

привлеченное ею лицо также было бы освобождено от ответственности, если бы положения указанного пункта были применены в отношении этого лица.

Освобождение от ответственности, предусмотренное настоящей статьей, распространяется лишь на тот период, в течение которого существует данное препятствие.

Сторона, которая не исполняет своего обязательства, должна дать извещение другой стороне о препятствии и его влиянии на ее способность осуществить исполнение. Если это извещение не получено другой стороной в течение разумного срока после того, как об этом препятствии стало или должно было стать известно не исполняющей свое обязательство стороне, эта последняя сторона несет ответственность за убытки, являющиеся результатом того, что такое извещение получено не было.

Ничто в настоящей статье не препятствует каждой из сторон осуществить любые иные права, кроме требования возмещения убытков на основании настоящей Конвенции.
